NovaStation End User License Agreement

⚠ DRAFT — pending legal review. This End User License Agreement ("EULA") is a complete working template provided for development. It is not legal advice and is not yet in force. The operator (NovaStation Labs) will have it reviewed by a qualified attorney and finalize the venue / dispute-resolution terms in Section 24 before it is published or relied upon.

Plain-language summary (not a substitute for the full terms below).

  • Lite is free and time-unlimited. NovaStation opens in Lite mode by default; you can use Lite forever, no account or card.
  • The Premium trial is a one-time 7-day evaluation that you choose to start from inside the app. No card, no auto-bill.
  • When the trial (or a paid subscription) ends, Premium features lock and NovaStation returns to Lite — never a full-app lockout.
  • Premium is $14.99 / month, activated by a valid license/subscription; canceling stops future billing.
  • NovaStation is software, not financial advice. It is not a broker, exchange, custodian, or adviser, and it never places real trades. Paper trading is simulated only.
  • The Software is licensed, not sold.

1. Acceptance of agreement

This EULA is a legal agreement between you ("you") and the operator (defined in Section 2) for the NovaStation desktop application, including its executables, bundled components, updates, and documentation (together, the "Software"). By installing, launching, activating, clicking "accept" or a similar control, or otherwise using the Software, you agree to be bound by this EULA. If you do not agree, do not install, activate, or use the Software. This EULA governs the software license; your subscription and the website service are also governed by the Terms of Service, data handling by the Privacy Policy, and trading risk by the Risk Disclaimer, all read together.

2. Licensor / operator

NovaStation is operated by NovaStation Labs (the "Licensor", "we", "us"). For support, billing, license activation, or legal inquiries, contact [email protected].

3. Eligibility

You must be old enough to form a binding contract in your jurisdiction (and at least the age of majority where required), or use the Software only with the consent and under the supervision of a parent or legal guardian who agrees to this EULA on your behalf. You are responsible for ensuring your use of the Software is lawful where you live.

4. License grant

Subject to your compliance with this EULA (and, for Premium, an active subscription and valid activation), Licensor grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software in executable / object-code form only, on a computer you own or control, for use under this EULA. No source code is provided or licensed. The Software is licensed, not sold; the specific features available to you depend on your tier (Section 5).

5. Lite, Trial & Premium tiers

The Software is a single application that runs in one of three tiers:

  • Lite — free and time-unlimited, with a limited feature set. Lite is the default tier when no trial or paid license is active, requires no account or payment, and remains available forever, including after a trial or subscription ends.
  • Trial — a one-time, 7-day evaluation of the Premium feature set. The trial starts only when you choose to start it from inside the Software; it does not start automatically on install or first launch, does not require a payment method, and does not auto-bill. When the 7-day period ends, Premium features lock and the Software automatically returns to Lite; it does not convert into a paid subscription. The trial is limited to one per device and is enforced locally on your machine.
  • Premium — the full feature set, unlocked by an active paid subscription and a valid activation (currently $14.99 / month USD; see Section 7). A valid paid subscription/license restores Premium even after a trial has ended.

Licensor may add, remove, rename, or move features between tiers over time; which features are "Premium" may change. Material changes will be communicated as described in the Terms of Service.

6. Activation, license keys & machine binding

Premium may require one or more of: a machine code, license key, activation file, activation code, and/or subscription validation. Activation may be tied to stable machine-related identifiers on your device to bind the license to that machine and to deter sharing and piracy; this check is performed locally (see the Privacy Policy). You may not share, publish, resell, or attempt to bypass your license key, activation credentials, or the activation mechanism. Machine transfers or re-issues may be handled through support at NovaStation Labs' reasonable discretion. Abuse, key sharing, tampering, or bypass attempts may result in Premium access being disabled.

7. Subscription & billing

  • Premium is currently $14.99 / month USD, unless a different price is shown on the pricing or checkout pages at the time you subscribe.
  • Payments are processed by third-party payment processors (such as Stripe, PayPal, or other supported providers). We do not store your full card or account details; those are handled by the processor.
  • Canceling stops future billing. Premium access may remain active until the end of the current paid billing period.
  • After paid access ends, Premium features lock and the Software returns to Lite. Subscription expiration does not cause a full-app lockout — Lite remains usable.

8. Permitted use

You may use the Software for your own personal charting, market monitoring, alerts/notifications, and simulated paper trading. You remain solely responsible for all of your financial decisions and for complying with the laws, regulations, and tax rules that apply to you.

9. Prohibited use / restrictions

You may NOT, and may not permit any third party to:

  • resell, redistribute, rent, lease, lend, host, or sublicense the Software, or otherwise make it available to a third party;
  • share, publish, or transfer your license key or activation credentials;
  • circumvent, disable, remove, or tamper with the trial, license, tier-gating, activation, or update mechanisms or any technical protection measures;
  • reverse-engineer, decompile, or disassemble the Software, except and only to the extent applicable law expressly permits despite this restriction;
  • scrape or extract the Software's proprietary indicators, signals, or other content to build or operate a competing product;
  • use the Software to provide paid managed trading, signal resale, financial advisory, or investment services, unless separately authorized in writing;
  • use the Software for any malicious purpose, unauthorized automation, or in violation of any applicable law or any third party's rights.

10. No financial advice / no brokerage / no live trading

NovaStation provides software tools — charts, signals, alerts, and simulated paper trading. It does not provide financial, investment, tax, or legal advice, and nothing it shows is a recommendation to buy or sell any asset. NovaStation holds no funds, executes no real trades, and connects to no exchange for live execution. It is not a broker, dealer, exchange, custodian, money transmitter, investment adviser, or financial adviser. All trading decisions, and any resulting gains or losses, are your sole responsibility. See the Risk Disclaimer.

11. Market data, signals & accuracy

Market data may be delayed, incomplete, inaccurate, interrupted, or unavailable. Indicators and signals may be wrong, may repaint, or may fail to trigger; alerts and notifications may be delayed or not delivered. You should not rely on NovaStation as your sole source for any trading decision. Licensor makes no guarantee of profit, performance, accuracy, completeness, timeliness, or uptime.

12. Paper trading

Paper trading is simulated only. Paper trades use no real money, send no real orders, and use no broker or exchange connection for live execution. Simulated results may not match real-market execution — actual slippage, liquidity, fees, spreads, latency, and fills can differ materially. Paper-trading results do not guarantee, and are not indicative of, live-trading results.

13. Third-party services

NovaStation depends on third-party services it does not control, including payment processors, notification services (e.g. Discord, Telegram, webhooks), market-data providers, exchange APIs, hosting/download providers, and update infrastructure. Their availability, accuracy, and terms are outside Licensor's control, and Licensor is not responsible for their acts, omissions, outages, or changes. Your use of a third-party service may be subject to that party's own terms and privacy policy.

14. Updates, changes & availability

Licensor may provide updates that add, remove, change, or rename features, and older versions may stop being supported. Updates may be required for security, compatibility, licensing, or data-provider changes. Licensor does not guarantee that any particular feature, tier boundary, or version remains available forever. Until code signing is implemented, Windows may display an "Unverified publisher" notice the first time you run the Software; this is expected for a new independent app. Download NovaStation only from official sources — novastationpro.com or the official GitHub release.

15. Data, privacy & local storage

The Software may store data locally on your computer, including settings, paper trades, logs, license/activation status, and signal/history data. License and activation checks may use machine-related identifiers. Diagnostic support bundles and logs may contain technical information you choose to send us. Payment details are handled by third-party processors, not by the Software. See the Privacy Policy for what is collected, stored, and transmitted, and what is not.

16. Support

Support is provided through [email protected]. Support is not guaranteed to be instant, and may require your app version, purchase email, machine code, screenshots, logs, a support bundle, or error details to investigate. Bug fixes and feature requests are not guaranteed.

17. Termination

This EULA is effective until terminated. You may stop using and uninstall the Software at any time. Licensor may terminate this EULA or disable your Premium access if you breach it (including the restrictions in Section 9 or the activation terms in Section 6). Trial or subscription expiration simply returns the Software to Lite (it is not a termination of your right to use Lite). On termination for breach, you must stop using and uninstall the Software. Sections that by their nature should survive — including 4, 6, 9, 10, 11, 12, 18, 19, 20, 21, 24, and 26 — survive termination.

18. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE, OR THAT ANY SIGNAL, INDICATOR, ALERT, OR OUTPUT WILL BE ACCURATE, TIMELY, OR PROFITABLE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY trading or investment losses, missed or mistimed trades, lost profits or revenues, lost or corrupted data, alert or notification failures, market-data errors or outages, third-party outages, software bugs, or license/activation or update interruptions, arising out of or related to the Software or this EULA, even if advised of the possibility of such damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING UNDER THIS EULA WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (b) USD $25. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

20. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Licensor and its suppliers from any claims, damages, liabilities, and expenses arising out of your misuse of the Software, your violation of this EULA or any law, your trading or financial decisions, or any unauthorized resale, sharing, or redistribution by you.

21. Export controls & legal compliance

You may not use, download, export, or re-export the Software in violation of any applicable laws, including economic sanctions and export-control rules. You represent that you are not located in, and will not use the Software in, a jurisdiction or by a person to whom such use is prohibited.

22. Consumer rights

Nothing in this EULA limits or waives any consumer rights you have under the mandatory laws of your country or state of residence that cannot legally be waived. Where such law conflicts with this EULA, that law prevails to the extent of the conflict.

23. Changes to this EULA

Licensor may update this EULA from time to time and will post the updated version on novastationpro.com. Continued use of the Software after an update takes effect means you accept the updated EULA, to the extent permitted by law. Material changes will be communicated as described in the Terms of Service.

24. Governing law & venue

This Agreement is governed by the laws of the State of California and applicable federal laws of the United States, without regard to conflict-of-law principles, except where mandatory consumer-protection law in your country or state of residence provides otherwise.

Venue and dispute-resolution terms should be finalized after legal review.

25. Severability, entire agreement & assignment

Severability. If any provision of this EULA is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force. Entire agreement. This EULA, together with the Terms of Service, Privacy Policy, Refund & Cancellation Policy, and Risk Disclaimer, is the entire agreement between you and Licensor regarding the Software, and supersedes prior understandings on its subject matter. Assignment. You may not assign this EULA; Licensor may assign it in connection with a merger, acquisition, or sale of assets. A failure to enforce any provision is not a waiver of it.
